Development Services

Design & Support Services

  • • Website maintenance and updates

Specific services, deliverables, timelines, and costs will be outlined in individual project agreements or statements of work.

User Responsibilities

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the service for any unlawful or fraudulent purpose
  • Transmit any harmful, threatening, or offensive content
  • Attempt to gain unauthorized access to any systems
  • Interfere with or disrupt the integrity of our services
  • Violate any applicable laws or regulations

Client Obligations

Payment Terms

Pricing and Invoicing

  • • All prices are quoted in British Pounds (GBP) unless otherwise specified
  • • Project costs will be outlined in individual agreements or statements of work
  • • We reserve the right to change our pricing with 30 days' notice for ongoing services
  • • All prices are exclusive of VAT, which will be added where applicable

Payment Schedule

Project Work

  • • 50% deposit required to commence work
  • • Remaining balance due upon completion
  • • Large projects may have milestone payments
  • • Payment terms: Net 14 days

Ongoing Services

  • • Monthly or annual billing cycles
  • • Payment due in advance of service period
  • • Auto-renewal unless cancelled
  • • 30 days' notice required for cancellation

Late Payments

Late payments may result in:

  • • Suspension of work until payment is received
  • • Interest charges of 1.5% per month on overdue amounts
  • • Recovery of collection costs and legal fees
  • • Termination of services for accounts 60+ days overdue

Intellectual Property Rights

Our Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of crispdigital and its licensors. The Service is protected by copyright, trademark, and other laws.

Important: You may not reproduce, distribute, modify, or create derivative works of our proprietary content without explicit written permission.

Client Work and Ownership

Upon Full Payment

  • • Client owns final deliverables
  • • Source code and design files transfer to client
  • • Client receives usage rights to all custom work
  • • We retain right to showcase work in portfolio

We Retain Rights To

  • • Our proprietary tools and methodologies
  • • Pre-existing intellectual property
  • • General knowledge and experience gained
  • • Third-party components and libraries

Third-Party Content

Some features of our Service may use third-party content or services. You acknowledge that such third-party content is protected by intellectual property rights and agree to comply with any applicable licensing terms.

Warranties and Disclaimers

Our Warranties

  • We will perform services with professional skill and care
  • Work will conform to agreed specifications and industry standards
  • We provide 30-day warranty for bug fixes on delivered work
  • Services will be performed in accordance with applicable laws

Disclaimers

EXCEPT AS EXPRESSLY SET OUT IN THESE TERMS:

  • • We disclaim all warranties, express or implied, including merchantability and fitness for purpose
  • • We do not warrant that services will be uninterrupted, error-free, or completely secure
  • • We do not guarantee specific results or outcomes from our services
  • • Third-party services and integrations are provided "as is" by their respective providers

Limitation of Liability

Maximum Liability

To the maximum extent permitted by law, our total liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you to us in the 12 months preceding the claim.

Excluded Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Non-payment of fees
  • Illegal or harmful activities
  • Abuse of our systems or staff

Effects of Termination

Upon termination:

  • • All rights and licenses granted to you will immediately cease
  • • We will complete work for which payment has been received
  • • You remain liable for all outstanding fees and charges
  • • We may retain copies of work for legal and business purposes
  • • Provisions regarding intellectual property, confidentiality, and liability survive termination

Force Majeure

We shall not be liable for any failure or delay in performance under these Terms that is due to causes beyond our reasonable control, including but not limited to:

Human Actions

In such events, we will make reasonable efforts to minimise delays and will notify you as soon as practicable of the situation and expected resolution timeline.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Dispute Resolution

We prefer to resolve disputes amicably:

General Provisions

Entire Agreement

These Terms constitute the entire agreement between you and crispdigital regarding our services and supersede all prior and contemporaneous written or oral agreements between the parties.

Modifications

We reserve the right to modify these Terms at any time. When we make changes:

  • • Continued use of our services constitutes acceptance of updated Terms

Severability
